第一章注册范围
第一条 根据《中华人民共和国企业法人登记管理条例》（以下简称《条例》）第三十八条的规定，制定本实施细则。
第二条在中华人民共和国境内设立的国有企业、集体企业、合资企业、外商投资企业（包括中外合资企业、中外合作企业、外资企业）和其他企业中国具有企业法人资格的，应当按照国家法律律师、法规和本规则的有关规定，申请企业法人登记。
第三条实行企业法人经营的机构和国家不再批准基金和从事经营活动的科技型社会组织，符合企业法人条件的，应当申请企业法人登记。
第四条 下列不符合企业法人条件的企业、经营单位，应当申请商业登记：
(一)联营企业;
(二)企业法人分支机构；
（三)外商投资企业设立的分支机构；
（四)其他从事经营活动的单位。
第五条 省、自治区、直辖市人民政府要求登记的企业、经营单位，应当按照《条例》和本办法有关规定申请登记。规则。
第 2 章注册机构
第六条工商行政管理机关是企业登记、商业登记的主管机关。登记机关依法独立行使职权，实行分级登记管理原则。
外商投资企业执行国家工商行政管理总局登记管理和授权登记管理的原则。
对下级登记机关不符合国家法律、法规和政策的决定，上级登记机关有权予以纠正。
第七条国家工商行政管理总局负责下列企业的登记管理工作：
（一)经国务院批准设立或经行业归口管理部门批准由国务院各部门和科技社会组织设立的全国性公司和大型企业；
（二)经国务院批准设立或国务院授权部门批准设立的大型企业集团；
（三)国务院授权部门审查同意国务院各部门设立从事进出口业务、劳务输出业务或对外承包工程的公司。
第八条省、自治区、直辖市工商行政管理局负责下列企业的登记管理工作：
(一)省、自治区、直辖市人民政府批准设立或行业中央管理部门审查同意由各政府部门设立的公司和企业和科技社会组织；
（二)省、自治区、直辖市人民政府批准或政府授权部门批准的企业集团；
(三)省、自治区、直辖市人民政府授权部门审查同意设立从事进出口业务、劳务输出业务或对外承包工程的公司各个政府部门；
（四)国家工商行政管理总局按照有关规定批准的企业或分支机构。
第九条市、县、区（指县级以上市辖区，下同）工商行政管理部门负责第八条、第九条所列企业以外的企业登记管理工作。 .
第十条国家工商行政管理总局授权地方工商行政管理总局负责下列外商投资企业的登记管理工作：
（一)经省、自治区、直辖市人民政府或政府授权机构批准的外商投资企业，由省工商行政管理局登记管理，国家工商行政管理总局授权的自治区、直辖市；
(二)经市人民政府或政府授权机构批准的外商投资企业，由国家工商行政管理总局授权的市工商行政管理局登记管理。
第十一条国家工商行政管理总局和省、自治区、直辖市工商行政管理总局应当将经批准注册的企业的有关材料抄送工商行政管理总局企业所在市、县、区工商部门。
第十二条各级登记机关可以利用登记档案、登记统计资料及相关基本信息，为机关、企业、事业单位、社会团体等单位和个人提供各种形式的咨询服务。
第三章报名条件
第十三条申请企业法人登记，应当具备以下条件（外商投资企业单独列示）：
（一)有限定名称和规定；
（二)拥有国家批准的企业管理财产或企业所有财产，可以以其财产独立承担民事责任；

(四)有与经营范围相适应的经营场所和设施；

（六)拥有完善的会计制度，能够独立核算、自筹资金，独立编制资本资产负债表或资产负债表；
（七)有符合规定数额且与经营范围相适应的注册资本，国家对企业注册资本数额有专门规定，供企业执行；
（八)具有符合国家法律、法规和政策的业务范围；
（九)法律法规规定的其他条件。
第十四条外商投资企业申请企业法人登记，应当具备以下条件：
（一) 有限定名；
(二)有审批机关批准的合同和章程；
（三)有固定的营业地点、必要的设施和员工；
（四)注册资本符合国家规定；
（五)具有符合国家法律、法规和政策的业务范围；
（六)拥有完善的会计制度，能够实行独立核算，自筹资金，独立编制资本资产负债表或资产负债表。
第十五条申请商业登记，应当具备以下条件：
（一) 有限定名；
（二)有固定的营业场所和设施；
（三)有相应的管理机构和负责人；
(四)有商业活动需要的资金和从业人员；
（五)有合规业务范围；
(六)有相应的财务会计系统。
不符合企业法人条件的联营企业，还应共同签署协议。
外商投资企业设立的从事经营活动的分支机构，实行非独立核算。
第十六条企业法人章程的内容应当符合国家法律、法规和政策的规定，并载明下列事项：
(一)目的;
(二)姓名和住所；
(三)经济性;
(四)注册资本金额及来源；
(五)经营范围和经营方式；
(六)Organization 及其权限；
(七)法定代表人的程序和权力；
(八)财务管理制度及利润分配表；
(九)劳动就业系统;
(十)Articles 修改程序；
(十一)终止程序；
（十二)其他事情。
作为法人的公司章程还应说明：
(一)合营方的方式、金额及投资期限；
(二)联合方成员的权利和义务；
(三)参与及退出条件及程序；
(四)组织管理机构的形成、形式、权力和决策程序；
（五)主要负责人的任期。
外商投资企业的合营合同、章程按照《中华人民共和国中外合资经营企业法》、《中华人民共和国法》的有关规定制定中外合作企业法》和《中华人民共和国外交企业法》。
第 4 章注册项目
第十七条企业法人登记的主要事项，按照本条例第九条的规定办理。
工商登记的主要内容包括：姓名、地址、负责人、经营范围、经营方式、经济性质、隶属关系、资金数额。
第十八条外商投资企业登记的主要事项包括：名称、住所、经营范围、投资总额、注册资本、企业类型、指定代表、营业期限、分支机构、有限责任公司股东、或合规 有限公司发起人的名称或名称。
第十九条外商投资企业设立的分支机构登记的主要事项包括：名称、营业地点、负责人、经营范围、关联企业。
第二十条企业名称应当符合国家有关法律法规和登记机关的要求。
第二十一条住所、地址、营业场所按照市、县、乡（镇）的详细地址和街道编号登记。
第二十二条经登记机关核准登记的企业行使职权的主要负责人为企业法人的法定代表人。法定代表人是代表企业法人依照公司章程行使职权的签字人。
企业法定代表人必须是具有完全民事行为能力的人，并遵守国家法律、法规和政策。
第二十三条登记机关应当根据申请单位提交的文件、章程所反映的财产权属、资金来源和分配方式对企业、经营单位的经济性质进行核准。
经济性质可分别核准为国家所有制和集体所有制。合营企业应当标明合营各方的经济性质，并注明“共同经营”字样。
第二十四条外商投资企业的企业类型分别核定为中外合资经营企业、中外合作经营企业和外商投资企业。
第二十五条登记主管部门应当根据申请人的申请和具备的条件，按照国家法律、法规、政策和标准化要求，批准业务范围和经营方式。企业必须按照登记机关核准登记的经营范围和经营方式从事经营活动。
#p#分页标题#e#第二十六条注册资本额是企业法人经营管理的财产或者企业法人拥有的财产的货币表示。除国家另有规定外，企业注册资本应当与实际资本一致。
企业法人注册资本的来源包括财政部门或者企业设立单位的拨付和投入。
第二十七条外商投资企业注册资本，是指为设立外商投资企业而在登记机关登记注册的资本总额，是投资者认缴的出资额。
注册资本与投资总额的比例应符合国家有关规定。
第二十八条经营期限是指联营企业、外商投资企业的章程、协议或者合同规定的经营期限。营业期限自登记机关核实登记无误之日起计算。
第五章开放注册
第二十九条申请企业法人登记，应当按照《条例》第十五条的规定提交文件和证明（一)至（七)）。
公司章程由主管机关审核通过。
资信证明是财务部门用来证明独资企业资本金数额的文件。
验资证明是会计师事务所或审计事务所等具有验资资格的机构出具的证明资金真实性的文件。
企业主要负责人的身份证明包括聘任文件和带照片的个人简历。个人简历由负责人所在单位或乡、街道办事处出具。
第三十条外商投资企业申请企业法人登记北京合资公司变更法人手续，应当提交下列文件和证明：
（一)董事长签署的外商投资企业注册申请；
(二)合同、章程、审批机关的批准文件和批准证书；
（三)与项目建议书或可行性研究报告相关的审批文件；
(四)投资者的合法开户证明；
（五)investor 的信用证明；
（六)董事会名单和董事会成员姓名、地址的文件，以及任命文件和法定代表人的身份证明；
(七)其他相关文件和证书。
第三十一条申请商业登记，应当根据不同情况提交下列文件和证明：
(一)注册申请表；
(二)运营资金数额证明；
(三)负责人的任命文件；
（四)营业场所使用证书；
(五)其他相关文件和证书。
第三十二条外商投资企业申请设立分支机构，应当提交下列文件和证明：
（一)下属公司董事长签署注册申请表；
(二)原登记机关的通知函；
(三)以公司董事会决议为准；
（四)关联公司执照复印件；
(五)负责人的任命文件；
(六)其他相关文件和证书。
国家工商行政管理总局的法律、法规和规章要求设立分支机构的批准文件。
第三十三条登记机关对申请单位提交的文件、证件、登记申请、登记等有关文件进行审查，批准后发给下列许可证：
（一)具有企业法人资格的企业，发给《企业法人营业执照》；
（二)对不具备企业法人条件但具备经营条件的企业、经营单位，发给《营业执照》；
登记机关应当单独编制登记号，在核发的许可证上注明，并记录在登记档案中。
第三十四条登记主管机关核发的《企业法人营业执照》是企业取得班组法规定的经营权法人资格的凭证。登记主管机关核发的《营业执照》是经营单位取得合法经营权的凭证。根据《营业执照》，经营单位可以在批准的经营范围内加盖公章、开立银行账户，从事生产经营活动。
第 6 章更改注册
第三十五条根据《条例》第十七条的规定，企业法人申请变更登记，应当提交下列文件、证件：
（一)法定代表人签署的变更登记申请；
(二)Documents 由原主管部门审核通过；
(三)其他相关文件和证书。
第三十六条企业法人的实际资本比原注册资本增加或者减少20%以上的，应当持资本信用证明或者验资证明向原登记机关申请变更登记。
登记机关批准减少企业法人注册资本申请的，应当重新审查经营范围和经营方式。
第三十七条企业法人在异地（跨原登记机关管辖）设立或者撤销分支机构的，应当向原登记机关申请变更登记。经批准后，向分支机构所在地登记机关申请工商登记或注销登记。
企业法人在境外设立企业或者设立分支机构的，应当向原登记机关备案。
第三十八条因分立、合并留用的企业，应当申请变更登记；因分立、合并设立的新企业，应当申请开业登记；因合并终止的企业应当申请注销登记。
#p#分页标题#e#第三十九条企业法人搬迁（跨越原登记机关管辖）的，应当向原登记机关申请办理搬迁手续；原登记机关应当根据登记机关同意迁入的新址登记机关的意见，领取《企业法人营业执照》，吊销登记号码，核发搬迁证明；将公司档案转移至公司新址所在地的登记机关。企业凭搬迁证明和有关部门的批准文件，向新址登记机关申请变更登记，领取《企业法人营业执照》。
第四十条企业法人因主管机关变更，涉及原主要登记事项的，应当持有关文件申请变更、开业、注销登记。不涉及原主要登记事项变更的，企业法人应当持经主管机关变更的有关文件，及时向原登记主管机关备案。
第四十一条外商投资企业变更登记基础的，应当申请变更登记。申请变更登记时，应提交下列文件和证明：
（一)董事长签署的变更注册申请；
(二)董事会决议；
（三)变更股东、注册资本、经营范围、经营期限时，应提交原审批机关的批准文件。
法律、法规和国家工商行政管理总局规定设立分支机构需要批准的，应当提交原批准机关的批准文件。
外商投资企业变更住所的，还应当提交住所使用证明；增加注册资本涉及变更原合同的，还应当提交补充协议；企业类型发生变更的，还应当提交补充协议，变更身份和章程；变更法定代表人 此外，还应提交转让合同、修改原合同、章程的补充协议以及受让方准法人开业证明和受让方的从属关系证明。信用证。
外商投资企业董事会成员变动的，应当向原登记机关备案。
第四十二条经营主体变更商业登记主要事项的，应当申请变更登记。变更登记手续及应提交的文件、证件，按照企业法人变更登记的有关规定执行。
第四十三条外商投资企业设立的分支机构变更主要登记事项的，应当申请变更登记。变更登记的程序和应提交的文件、证明，按照外商投资企业变更登记的有关规定执行。
第四十四条登记主管机关应当自申请变更登记的单位提交的有关文件、证明材料齐全之日起30日内，作出准予变更登记或者不准予变更登记的决定。
第七章取消注册
第四十五条依照《条例》第二十条的规定，企业法人申请注销登记，应当提交下列文件、证件：
（一)法定代表人签署的注销申请；
(二)Documents 由原主管部门审核通过；
（三)主管机关或清算机构负责清理债权债务的文件或完成债务清理的证明。
第四十六条外商投资企业应当自营业期限届满或停业之日、批准证书自动失效之日、批准证书自动失效之日起三个月内，向原登记机关报备。原审批机关批准终止时。申请注销登记并提交以下文件和证明：
（一)董事长签署的注销申请；
(二)董事会决议；
(三)清理债权债务完成情况报告或清算机构清理债权债务的文件；
（四)税务机关、海关出具的完税证明。
法律、法规要求原审批机关批准的，还应当提交原审批机关的批准文件。
无法提交董事会决议且国家对注销外商投资企业另有规定的，按国家有关规定执行。
第四十七条经营单位终止经营活动，应当申请注销登记。办理注销登记手续及应提交的文件、证件，按照企业法人注销登记的有关规定执行。
第四十八条外商投资企业注销分支机构，应当申请注销登记，并提交下列文件和证明：
（一)子公司董事长签署的注销登记申请；
（二)服从公司董事会决议。
第四十九条登记主管机关核准注销登记或者吊销许可证的北京合资公司变更法人手续，应当同时注销登记号，并代收许可证原件、复印件和公章，并由银行通知开户。
第八章注册审批程序
第五十条登记机关审查登记的程序为受理、审查、核准、发证、公告。
（一)Acceptance：注册申请必须在注册函提交的文件和注册证书齐全后才能受理，否则不予受理。
（二)review：审核提交的文件、证件和注册表是否符合相关注册管理规定。
（三)Approval：审核通过后，作出批准注册或不批准注册的决定，并及时通知申请注册的单位。

第九章宣传与许可管理
第五十一条登记机关应当通过企业信用信息公示系统向社会公开企业法人登记备案信息。
第五十二条企业法人应当于每年1月1日至6月30日通过企业信用信息公示系统向登记机关报送上一年度的年度报告，并向社会公示。年度报告内容和监督检查按照国务院规定执行。
第五十三条《企业法人营业执照》和《营业执照》分正本和副本，同样具有法律效力。原件应挂在主要办公室或主要营业场所。登记机关可以根据企业申请和经营活动的需要，核发许可证副本数份。
国家推行电子营业执照。电子营业执照与纸质营业执照具有同等法律效力。

Chapter Ten Supervision and Management and Penalty Provisions
Article 56 The main content of the registration authority for supervision and management of enterprises is:
(一) supervise whether the enterprise handles business registration, change registration and cancellation registration in accordance with the "Regulations" and these rules;
(二) supervise whether the company conducts business activities in accordance with the approved and registered items, as well as the articles of association, contract or agreement;

(四) Supervise whether the company and its legal representative comply with relevant national laws, regulations and policies.
Article 57 The registration authorities at all levels have the right to supervise and inspect enterprises within their jurisdiction. The enterprise shall accept the inspection and provide the documents, account books, statements and other relevant materials required for the inspection.
Article 58 When the registration authority supervises and inspects enterprises within its jurisdiction, it has the right to impose penalties in accordance with relevant regulations. However, orders to suspend business for rectification, withholding or revocation of licenses and licenses can only be decided by the original license-issuing authority.
Article 59 The higher-level registration authority shall have the right to correct improper penalties imposed by the lower-level registration authority.
The authority and procedures for penalizing illegal enterprises shall be stipulated separately by the State Administration for Industry and Commerce and the Provincial, Autonomous Region, and Municipal Administration of Industry and Technology.
Article 60 For enterprises and business units that have the following behaviors, the registration authority shall impose the following penalties, either inpidually or concurrently:
(一) Anyone who starts business without approval and engages in business activities shall be ordered to terminate business activities, confiscate illegal gains, and impose a fine of less than 3 times the amount of illegal gains, but the maximum is not more than RMB 30,000. If there is no illegal gains, a penalty of 10,000 shall be imposed. Fines below RMB yuan.

(五) infringes on the exclusive right of enterprise name, it shall be dealt with in accordance with the relevant regulations of enterprise name registration management.
(六)Forgery, alteration, lease, lending, transfer, or sale of business licenses, the illegal income shall be confiscated, and a fine of three times or less the illegal income shall be imposed, but the maximum shall not exceed RMB 30,000. If there is no illegal income, the penalty shall be 10,000 Fines below RMB yuan; if the circumstances are serious, the business license shall be revoked.
(七)If the business license is not suspended according to the regulations, a warning shall be given and correction shall be ordered; if the correction is refused, a fine of less than 2,000 yuan shall be imposed.

(十) who refuses to supervise and inspect or falsify in the process of accepting supervision and inspection, in addition to ordering them to accept supervision and inspection and provide true information, they will be warned and a fine of less than 10,000 yuan will be imposed.
After the registration authority has made a penalty decision on an enterprise that has committed the above-mentioned illegal acts, if the enterprise fails to file a complaint within the time limit and fails to pay the fines, it may apply to the people's court for compulsory enforcement.
Article 61 For units and inpiduals that provide false documents or certificates, in addition to being ordered to compensate others for losses caused by the issuance of false documents or certificates, a fine of less than 10,000 yuan shall be imposed.

Article 63 The competent registration authority shall impose corresponding administrative sanctions on staff members who fail to follow the prescribed procedures for registration, supervision and management and serious dereliction of duty, and the persons who constitute crimes shall be handed over to the judicial organs for handling.
Article 64: Where an enterprise applies for reconsideration to the higher-level registration authority in accordance with Article 31 of the Regulations, the higher-level registration authority shall make a reconsideration decision to maintain, cancel or correct within the prescribed time limit. , And notify the enterprises applying for reconsideration.
Supplementary Regulations
Article 65 Enterprises that should apply for registration of establishment in accordance with Article 35 of the Regulations shall register for establishment in accordance with the special provisions of the relevant departments of the State Council or the people's governments of provinces, autonomous regions, and municipalities directly under the Central Government.
Article 66 Joint ventures, cooperative enterprises, and sole proprietorship enterprises invested by Hong Kong, Macao, and Taiwan enterprises, overseas Chinese, Hong Kong, Macao, and Taiwan compatriots, shall refer to the relevant provisions of these rules for foreign-invested enterprises.
Article 67 The registration management of foreign (regional) enterprises engaged in business activities within the territory of China shall be implemented in accordance with special regulations.
Article 68 These rules shall come into force on the date of promulgation.
